1. Introduction & Definitions

These Terms and Conditions ("Terms") govern access to and use of the services, websites, digital platforms, products, and content provided by KMVTECHUG LIMITED ("Company", "we", "our", "us"). By accessing or using our services, you agree to be legally bound by these Terms.

"Client" or "You" means the person or entity using our services. "Services" means all ICT, training, media, consultancy, and related services offered by the Company. "Work Product" means the final deliverable created specifically for a client. "Service Fee" means the amount charged for any particular service.

2. About the Company

KMVTECHUG LIMITED is a private company limited by shares, registered and operating under the laws of Uganda, providing ICT & technical services, training, media, and consultancy. The Company operates brands including KMVTECH, King Musah Media, KMVTECH Education, and MUSANYA MUSA.

3. Acceptance of Terms

• Age Requirement: You must be at least 16 years old. Persons under 16 need verifiable parental/guardian consent (physical consent form, email confirmation, or verified telephone call).
• Compliance: You agree to comply with these Terms and the Data Protection and Privacy Act (2019) of Uganda.
• Consent by Conduct: Approaching us for services and allowing us to commence work constitutes consent under the Contracts Act of Uganda. For services valued at UGX 200,000 or above, written consent may be required at the Company's discretion.

4. Services Disclaimer

All services are provided "as available" and "as is." We do not guarantee uninterrupted or error-free service, continuous availability of third-party or government platforms, or specific outcomes from third-party decisions. We may modify or discontinue services at any time for maintenance or updates. We may suspend or terminate access for breach of Terms; termination does not affect payment obligations for services already rendered.

5. Payments and Refund Policy

• All payments must be made before final delivery of work or before issuing certificates/completion documents unless otherwise agreed in writing.
• Accepted methods: Mobile Money (+256759405181 / +256760108150), cash at our office, or bank transfer.
• If you cannot pay when due, contact us within 3 days. No communication within 7 days is treated as a change of mind, but you remain liable for costs already incurred.
• Project-based payments (e.g. Web Design) are non-refundable once work has commenced.
• Refunds are only issued if a service was not delivered or there is a proven technical failure on our part.
• No refunds for: change of mind after work commences, failure to complete enrolled courses, errors in client-provided information, delays caused by client non-responsiveness, or third-party fees (government fees, hosting, domains) — non-refundable in all cases.
• Disputed charges must be raised in writing within 14 days of the invoice date.
• Services may be suspended if payment is overdue by 7 days.

6. Government & Online Application Assistance

KMVTECHUG LIMITED acts as a technical assistant only for completing online applications (e.g. UNEB, URSB, Passports, NIRA, URA). We are not the issuing authority and do not represent the Government of Uganda or any other entity.

7. Client Responsibility for Information

You bear full and final responsibility for all information you provide, confirming it is true, accurate, and personally verified. We are not liable for errors originating from client-provided data, or for rejections, penalties, or legal consequences that result.

8. Verification & Submission

You must review all details before final submission. Submission occurs upon clicking "Submit," providing written approval, or verbal approval confirmed in writing. Once submitted with your approval, any corrections requested are treated as a new, paid service.

9. No Liability for Government Decisions

We are not responsible for government decisions, processing delays, requests for additional documentation, or application rejections. Government fees are subject to those entities' own refund policies.

10. Data & Privacy

We provide a processing service, not a storage service, and have no obligation to store client records after a service is completed. We reserve the right to delete client data at any time following completion. Clients must keep their own copies of forms, receipts, and credentials. We are not liable for residual data remaining in backups or logs after service completion.

11. Lost Credentials

We are not responsible if a client forgets passwords or loses documents provided during a service. Retrieving lost information or resetting accounts is charged as a new service.

12. Intellectual Property

All training materials, logos, videos, course content, and branding belong to KMVTECHUG LIMITED; unauthorized resale or redistribution is prohibited. Upon full payment, clients own the final Work Product created for them. Enrolled-course materials remain accessible for the paid period or up to 60 days after completion, whichever is longer. If full payment is not received, the Company retains all rights to work-in-progress.

13. User Conduct & Prohibited Uses

You may not use our services for illegal purposes, knowingly provide false information, attempt unauthorized access, harass or abuse our staff, resell our services without authorization, misuse communication channels, or violate applicable laws. Violations may result in immediate termination and legal action.

14. Limitation of Liability

To the maximum extent permitted by Ugandan law, KMVTECHUG LIMITED is not liable for loss of profits, business opportunities, or data; indirect or consequential losses; or actions/failures of third-party providers. Damages are limited to fees paid for the specific service. This limitation does not apply to gross negligence or willful misconduct by the Company.

15. Force Majeure

We are not liable for delays or failures caused by events beyond our control, including internet shutdowns, power outages, government-mandated interruptions, natural disasters, civil unrest, acts of war, or public health emergencies.

16. Dispute Resolution

Parties agree to attempt good-faith negotiation for 60–90 days before pursuing legal action, followed by mediation if needed. Any legal action is subject to the exclusive jurisdiction of the courts of Uganda.

17. Modifications to Terms

We may modify these Terms at any time; changes take effect upon posting. Clients with active service agreements will be notified of material changes by phone or email. Continued use after changes constitutes acceptance.

18. Termination Rights

We may suspend or terminate your access immediately for breach of Terms, prohibited conduct, or non-payment. You may terminate by ceasing use and cancelling active services. Termination does not affect payment obligations for services already rendered, and you must immediately cease use of Company materials and IP.

19. Governing Law & Severability

These Terms are governed by the Laws of the Republic of Uganda, including the Contracts Act and Data Protection and Privacy Act (2019). If any provision is found invalid, the remaining provisions remain in full force.
